Terms of Service
These Terms of Service (“Terms”) are an agreement between you and Sequentex, Inc., operator of MSP Target (“MSP Target,” “we,” “us,” or “our”). They govern access to MSP Target’s websites, applications, workspaces, supplier and channel directories, lead and registration workflows, integrations, communications, and related services (collectively, the “Service”). By creating an account, accepting an invitation, clicking an acceptance control, or using the Service, you agree to these Terms and the policies linked above. If you use the Service for an organization, you represent that you have authority to bind it.
1. Eligibility and accounts
You must be at least 18 and legally capable of entering this agreement. Registration information must be accurate and kept current. Each person must use an individual account and protect its credentials. You are responsible for activity performed through your account and must promptly report suspected unauthorized access. We may reject, suspend, or terminate accounts that present security, legal, payment, or policy risks.
2. Workspaces and roles
MSP Target separates customer information by workspace. Workspace owners and administrators control membership, roles, integrations, and organization settings. They may access and manage information belonging to their workspace. Platform administrators manage service operations and aggregate account metadata but are not authorized to use private customer records for unrelated purposes. You must not attempt to access another workspace or grant access to an unauthorized person.
3. Service purpose and user decisions
MSP Target augments—not replaces—your CRM, professional judgment, supplier due diligence, TSD agreements, legal review, or customer authorization. The Service can organize leads, surface possible suppliers and routes, prepare registration communications, export records, and transmit user-approved information. You remain responsible for verifying recipients, content, contact authority, customer needs, supplier availability, registration eligibility, pricing, commissions, contracts, and all business decisions.
4. User content
You retain ownership of information you lawfully submit (“Customer Content”). You grant us a limited, non-exclusive license to host, process, copy, transmit, and display Customer Content only as reasonably necessary to provide, secure, support, and improve the Service, comply with law, and carry out your instructions. You represent that you have the rights, notices, permissions, and lawful basis needed to process and communicate that content. Private workspace records are not converted into global supplier facts without an authorized publishing workflow.
5. Shared catalog information
Supplier and channel identity, public contacts, services, capabilities, relationships, and other published facts may appear in the shared MSP Target catalog. Supplier- or channel-authorized managers may maintain their published profiles. Workspace contacts, credentials, notes, ratings, opportunity history, and account details remain private to the workspace unless an authorized user deliberately publishes or transmits them. 6. Integrations and external services
Third-party services—including HubSpot, SendGrid, MSP Trigger, suppliers, TSDs, and linked websites—are independent and governed by their own terms. Connecting an integration authorizes MSP Target to exchange the data and permissions shown during setup. You may disconnect supported integrations. We do not control third-party availability, decisions, data, or security. See the Third-Party Data & Integrations Policy.
7. Communications and approvals
You may direct MSP Target to prepare registration drafts in your own email application and to send invitations, exports, and operational messages. You—not MSP Target—send registration outreach from your mailbox. You are the sender or initiating party for user-directed business communications and are responsible for recipient authority, accuracy, and applicable consent. Transactional account and security communications may be sent as necessary to operate the Service. The Electronic Communications Policy applies.
8. Plans, billing, and cancellation
Plan features, prices, limits, trials, and founder offers are shown at purchase or on the pricing page. Paid plans renew until cancelled. Taxes may apply. Details appear in the Subscription, Cancellation & Refund Policy.
9. Acceptable use
You must comply with the Acceptable Use Policy. Among other restrictions, you may not misuse personal information, send unlawful or deceptive communications, bypass access controls, introduce malicious code, disrupt the Service, impersonate others, or use data without authority.
10. MSP Target intellectual property
MSP Target and its licensors retain all rights in the Service, software, design, documentation, trademarks, and non-customer content. These Terms give you a limited, revocable, non-transferable right to use the Service for your internal business purposes during an active account. They do not prevent you from independently developing or operating products and workflows that do not copy MSP Target software, confidential information, or protected expression. Feedback may be used without restriction or compensation, but does not transfer ownership of your pre-existing intellectual property.
11. Confidentiality and security
Each party will protect non-public information received from the other using reasonable care and use it only for the Service relationship. This obligation does not cover information independently developed, already lawfully known, publicly available without breach, or lawfully received from another source. Required legal disclosures may be made after notice where permitted. We use reasonable administrative, technical, and organizational safeguards, but no system is perfectly secure.
12. Suspension and termination
You may stop using the Service and cancel as described in the Subscription Policy. We may suspend or terminate access for material breach, unlawful use, nonpayment, security risk, or harm to the Service or others. When practicable, we will provide notice and an opportunity to cure. Following termination, workspace owners may request an available export during the stated retention period. Certain provisions—including ownership, confidentiality, disclaimers, liability limits, indemnity, and dispute terms—survive.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not guarantee uninterrupted operation, successful registration, supplier acceptance, pricing, commissions, recommendations, revenue, or business outcomes. Beta and evaluation features may change or end.
14. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, commissions, opportunities, goodwill, or data. MSP Target’s aggregate liability arising from the Service will not exceed the greater of the fees paid for the affected Service during the 12 months before the event or $100. These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.
15. Indemnification
You will defend and indemnify MSP Target and Sequentex against third-party claims arising from your unlawful Customer Content, communications, violation of these Terms, infringement caused by material you provide, or disputes between you and customers, suppliers, TSDs, or other parties. We will defend you against a third-party claim that the unmodified Service directly infringes a U.S. intellectual-property right, subject to customary exclusions and control of defense.
16. Disputes and governing law
Before filing a formal claim, the parties will attempt good-faith resolution for 30 days after written notice. Unless applicable law requires otherwise, these Terms are governed by Florida law, without regard to conflict-of-law rules, and exclusive venue lies in state or federal courts located in Palm Beach County, Florida. Either party may seek emergency injunctive relief to protect security, confidentiality, or intellectual property. Nothing here waives rights that cannot lawfully be waived.
17. Changes and general terms
We may update these Terms with reasonable advance notice of material changes. Continued use after the effective date constitutes acceptance; if you disagree, stop using the Service. Neither party may assign these Terms without consent, except in connection with a merger, reorganization, or sale of substantially all relevant assets. The parties are independent contractors. If a provision is unenforceable, the remainder continues. These Terms and linked policies are the entire agreement unless a signed order or addendum states otherwise.
